When registering a company in Singapore, you need a Nominee Secretary. The Nominee Secretary is not an ordinary office secretary!

All companies registered in Singapore need to have at least one resident staff in Singapore as the company’s Nominee Secretary when registering. It is the responsibility of the company’s board of directors to appoint a company secretary and determine the salary package for that secretary. Finding a qualified Singapore resident as the company’s Nominee Secretary is to ensure that this person understands the necessary relevant knowledge and has relevant work experience as a company’s Nominee Secretary.

The position of the company’s Nominee Secretary can only be vacant if the secretary dies, resigns or is dismissed by the director, but it is important that the position of the secretary must be filled within 6 months under the law. When there is no secretary or the secretary cannot perform his or her duties, the assistant secretary can replace the secretary to perform his work duties until the new secretary takes office.
